4. PLACING ORDERS
4.1. SERVICE AVAILABILITY
Products offered through the Website may only be shipped within the United States of America and Puerto Rico.
We are currently unable to ship to other territories or countries.
4.2. PRICES
The sale price listed in U.S. dollars for products offered through the Website will be the price in effect when the Buyer places the Order.
Prices may change, but such changes will not affect Orders for which an Order Confirmation has already been sent.
The price does not include delivery charges. Applicable delivery charges will be added and clearly displayed before the Buyer completes the Order.
Prices posted on the Website may differ from prices offered through other sales channels.
Posted prices do not include applicable taxes. Applicable taxes will be added to the merchandise total and itemized in the shopping cart and Order Confirmation.

4.4. PRODUCT AVAILABILITY
All Orders are subject to product availability.
If an ordered product is unavailable, we will notify the Buyer as soon as reasonably possible.
If payment has already been received for an unavailable product, we will refund the amount paid for that product using the original method of payment.
4.5. PLACING AN ORDER
To place an Order, the Buyer must follow the online purchasing process available through the Website.
Before submitting an Order, the Buyer will have the opportunity to review and correct errors in the information provided.
After the Buyer completes the purchasing process and submits an Order, an acknowledgment confirming receipt of the Order will be sent by email. This acknowledgment does not constitute acceptance of the Order.
An Order will only be deemed accepted when IACSPA sends the Buyer an Order Confirmation indicating that the Order has been accepted and is being processed.
IACSPA reserves the right to refuse or cancel an Order at its discretion, including where:

4.6. PROFESSIONAL ACCOUNT REQUIREMENT
Purchases through the Website are available exclusively to licensed skincare, spa and wellness professionals whose account registration has been reviewed and approved by IACSPA.
Submitting an account-registration request does not guarantee approval or create a right to purchase products through the Website.
IACSPA may request documentation reasonably necessary to verify an applicant’s professional status, including licenses, certifications, business information or other supporting documentation.
IACSPA reserves the right to approve, deny, suspend or terminate an account if the applicant does not meet the professional requirements established for access to the Website or provides inaccurate, incomplete or misleading information.
The Buyer is responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their account.
The Buyer agrees to notify IACSPA immediately of unauthorized use of their account or any other breach of security.
4.7. PAYMENT
Payment may be made using any payment method offered through the Website at the time the Order is placed.
By submitting an Order, the Buyer represents and warrants that they are authorized to use the selected payment method.
All payments are subject to authorization and verification by the applicable payment provider and financial institution. If payment authorization is refused, the Order will not be accepted.
IACSPA reserves the right to change the available payment methods at any time.
4.8. DELIVERY
Orders will be delivered to the delivery address specified by the Buyer during checkout.
Delivery will be made through UPS or another carrier designated by IACSPA.
Any delivery dates or times provided are estimates only and are not guaranteed. Although we will make reasonable efforts to deliver Orders within the estimated timeframe, delays may occur because of circumstances beyond our reasonable control.
If delivery is delayed, the Buyer will be informed as soon as reasonably practicable.
4.9. FAILURE TO DELIVER
If delivery cannot be completed because the Buyer is unavailable or because the delivery address provided is incorrect or incomplete, the carrier may make additional delivery attempts or leave instructions for collection in accordance with the carrier’s standard procedures.
If an Order cannot be delivered for reasons attributable to the Buyer, IACSPA reserves the right to cancel the Order and deduct reasonable costs incurred for return shipping, storage or redelivery, where permitted by applicable law.
4.10. TRANSFER OF RISK AND TITLE
The risk of loss of or damage to products will pass to the Buyer upon delivery to the delivery address specified in the Order.
Title to the products will not pass to the Buyer until IACSPA has received payment in full for the products and any applicable shipping charges.
4.11. ORDER CANCELLATION
The Buyer may request cancellation of an Order provided that the Order has not entered the fulfillment or shipping process.
Once an Order has entered the fulfillment or shipping process, cancellation may no longer be possible.
IACSPA reserves the right to determine whether an Order may be cancelled and, where appropriate, to issue a refund in accordance with these Terms and Conditions.
4.12. RETURNS
Because the products offered through the Website are intended for professional use, returns will only be accepted in accordance with this Returns Policy.
Products may only be returned if:

The return request is made within fifteen (15) days after delivery.

4.13. DAMAGED OR INCORRECT PRODUCTS
If the Buyer receives a product that was damaged during shipment, is defective or is different from the product ordered, the Buyer must notify IACSPA as soon as reasonably possible and, in any event, within fifteen (15) days after delivery.
The Buyer should provide a description of the issue together with photographs of the product and its packaging whenever reasonably possible.
After reviewing the claim, IACSPA will, at its discretion, replace the product, issue an appropriate refund or provide another suitable remedy.
4.14. RETURN SHIPPING COSTS
Unless the return results from an error attributable to IACSPA or from a defective or damaged product, the Buyer is responsible for all shipping costs associated with returning the product.
Where the return results from an error attributable to IACSPA or from a defective or damaged product, IACSPA will bear the reasonable cost of the return or provide appropriate return-shipping instructions.
4.15. REFUNDS
Approved refunds will be issued using the same payment method used to purchase the products, unless otherwise agreed by IACSPA and the Buyer.
Refunds will be processed after the returned products have been received and inspected or, where no return is required, after the relevant claim has been verified.
Acceptance of a return or issuance of a refund does not constitute an admission of liability by IACSPA.
4.16. NO RIGHT OF WITHDRAWAL
The Website is intended exclusively for purchases by licensed professionals.
Accordingly, any statutory right of withdrawal or cancellation that may apply to consumer purchases will not apply to purchases made through the Website, except where expressly required by applicable law.
5. INTELLECTUAL PROPERTY RIGHTS
All intellectual-property rights in the Website, including all text, graphics, photographs, images, videos, audio, software, source code, trademarks, trade names, logos, designs, databases and other content made available through the Website, are owned by or licensed to International Aesthetic Corporation, Inc., d/b/a Germaine de Capuccini.

A breach of this provision may constitute a violation of applicable law. IACSPA will report such violations to the appropriate law-enforcement authorities and will cooperate with those authorities by disclosing the identity of the responsible party where required by law.

Such assignment will not affect rights that the Buyer may have under applicable law.
11. EVENTS BEYOND OUR CONTROL
IACSPA will not be liable for failure or delay in performing an obligation under these Terms and Conditions where the failure or delay results from events beyond its reasonable control.
Events beyond our reasonable control include:

Strikes, lockouts or other industrial disputes.

Civil unrest, riots, invasion, terrorist attacks or threats of terrorist attacks, war or threat of war.

12. DISPUTE RESOLUTION AND BINDING ARBITRATION
12.1. Arbitration and waiver of court proceedings
YOU AGREE TO WAIVE ANY RIGHT TO LITIGATE CLAIMS IN COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO ANY CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IN COURT MAY ALSO BE UNAVAILABLE OR LIMITED IN ARBITRATION.

12.2. Arbitration procedures
The arbitration will be administered by the American Arbitration Association, or “AAA,” in accordance with its Consumer Arbitration Rules then in effect, except as modified by this Section.
The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement.
The arbitrator will have exclusive authority to determine issues relating to the arbitrability or enforceability of this arbitration agreement, including claims that all or part of this arbitration agreement is void or voidable.

Any arbitration award will be final and binding upon the parties and may be entered as a judgment in a court having jurisdiction.
IACSPA will pay arbitration fees that it is required to pay under applicable law.
If you prevail on a claim that permits recovery of attorneys’ fees, the arbitrator may award reasonable attorneys’ fees in accordance with applicable law.
12.3. Small-claims exception
You may elect to pursue an individual claim in small-claims court instead of arbitration by providing written notice to IACSPA within sixty (60) days following your purchase.
Any such proceeding must relate solely to your individual claim.
12.4. Class-action waiver
Arbitration will be conducted solely on an individual basis.
YOU MAY NOT PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING.
The arbitrator will have no authority to consolidate claims or preside over a representative or class proceeding.
If a provision of this arbitration agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
13. USER-GENERATED CONTENT
When submitting, posting or otherwise making content available through the Website, referred to as a “Submission,” you represent and warrant that you possess all rights necessary to submit the content.
